Introduction and Acceptance of Terms

Thank you for using WisPaper, an AI-powered research and productivity platform operated by Atom Infinite Pte. Ltd., offering services such as AI Search, AI Summary, AI Subscription, and AI Knowledge Base (collectively, the “Services”). These Terms of Service (“Terms”) constitute a legally binding agreement between you and WisPaper.

PLEASE READ THESE TERMS CAREFULLY. By accessing or using our website and/or Services, you automatically accept and agree to the most recent version of these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you must not use our Services.

1. Account and User Eligibility

1.1 Eligibility Restrictions

  • Age Restriction: The Services are not directed to children under sixteen (16) years of age. If you are under 16, do not use or provide any Personal Information on our Site or through any of its features.
  • Minors: If you are between thirteen (16) and under eighteen (18) years of age, you must obtain your parent’s or legal guardian’s consent prior to using the Services.

1.2 Account Responsibility

  • You are responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account.
  • Non-Transferable Account: You must not authorize or permit any third party to access or use your account. Your account is non-transferable.
  • You must provide and maintain true, accurate, complete, and current registration information; failure to do so may affect your ability to use the Services.
  • For Business/Commercial Plan Users: Users with an active commercial subscription may use the Services for internal business purposes within the authorized scope specified in their subscription agreement. All other restrictions remain applicable.

2. Services and Intellectual Property

2.1 License to Use the Services

WisPaper grants you a personal, limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. The Services may only be used for non-commercial, personal research, and productivity purposes.

2.2 Ownership of User Content

  • "User Content" means any questions, prompts, files, or information you submit to the Services (e.g., AI search queries, documents uploaded to the AI Knowledge Base).
  • Your Content is Yours: You retain all ownership rights in and to your User Content uploaded or submitted to the Services.
  • Our Use of Content: You hereby grant WisPaper a worldwide, royalty-free, sublicensable license to use your User Content solely for the following purposes:
    • To provide the immediate Service you requested (e.g., generating a summary of your uploaded document).
    • For reasonable data analysis in an aggregated or de-identified format that cannot be reasonably associated with you.

2.3 Critical AI Model Training Commitment

WisPaper commits that it will not use your User Content to train or improve the underlying large language models (LLMs) used to provide the Services.

2.4 Proprietary Rights

  • All intellectual property rights in the software, technology, designs, trademarks, and content (excluding your User Content) used in the Services belong to WisPaper or its licensors.
  • You may not use any software, device, or automated process to scrape, copy, measure, analyze, or monitor any part of the Services or content.

3. Paid Services, Subscriptions, and Refund Policy

3.1 Payment Terms

  • Certain Services are offered on a subscription basis (“Paid Services”).
  • You agree to pay all fees in accordance with the applicable charges and billing terms.
  • Payment Processing: Your payment information is processed by our third-party payment providers.

3.2 Automatic Renewal

For subscription services, you agree that your subscription will automatically renew at the end of the applicable subscription period unless you cancel your subscription prior to the renewal date.

3.3 Price Changes

WisPaper reserves the right to change the pricing for the Services at any time. Any price changes will be communicated in advance and will take effect at the start of your next billing cycle.

4. Prohibited Activities

4.1 Prohibited Conduct

You agree that you will not engage in any of the following activities while using the Services:

  • Violating any applicable international, national, state, or local laws or regulations.
  • Infringing upon or otherwise violating the intellectual property, privacy, or publicity rights of any person or entity.
  • Impersonating or attempting to impersonate WisPaper, a WisPaper employee, another user, or any other person or entity.
  • Posting any content that is obscene, indecent, defamatory, false, deceptive, misleading, threatening, or abusive.
  • Attempting to or in any way interfering with, disabling, damaging, or disrupting the Services or its servers.
  • Using any software, program, process, device, or routine (including bots, crawlers, viruses, spyware, and malware) to monitor, copy, interfere with, or gain unauthorized access to the Services.

5. Fair Use Policy

5.1 Purpose and Restrictions

To ensure stability, security, and fair availability, you agree to use the Services in a reasonable manner consistent with ordinary individual usage patterns and not primarily driven by automated systems.

For purposes of these Terms, “human-like usage” refers to access patterns typical of individual users and excludes continuous, high-frequency, or programmatic requests unless expressly authorized.

Prohibited activities include, but are not limited to:

  • Automated Access: Unauthorized bots, scripts, scrapers, or mass queries, except via approved APIs or written permission.
  • Account Sharing: Sharing credentials or bypassing usage limits.
  • System Interference: Circumventing safeguards or rate limits.
  • Unauthorized Reselling: Reselling access, raw outputs, or subscription benefits without written consent.

5.2 Regional Law Considerations for Fair Use Enforcement

  • EU (GDPR): Monitoring is based on legitimate interests and limited to what is necessary for security.
  • California (CCPA/CPRA): Technical telemetry is used solely for enforcement and security and is not sold or shared for advertising.
  • Singapore (PDPA): Data collection follows reasonableness and retention limitations.
  • Australia (Privacy Act / APPs): Users may be notified before final restrictive actions where appropriate.
  • Japan (APPI): Usage logs are processed as reasonable security management measures.
  • South Korea (PIPA): Users may explain usage before permanent termination.

5.3 Consequences of Fair Use Violations

We may monitor usage reasonably and in good faith. For material or repeated violations, we may:

  • Reduce access speed or limits;
  • Suspend accounts where necessary for security or compliance;
  • Terminate accounts and revoke remaining quotas, except where prohibited by applicable consumer protection laws.

Where required by law or reasonably practicable, notice or an opportunity to respond will be provided.

6. Disclaimers and Limitations

6.1 Services Provided “AS IS”

The WisPaper Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, secure, or fit for any particular purpose.

6.2 Disclaimer for AI-Generated Content

  • No Guarantee of Accuracy: You understand and acknowledge that AI-generated content (including search results and summaries) may contain errors, inaccuracies, or incomplete information.
  • User Responsibility: You are solely responsible for any decisions made or actions taken based on any information obtained through the use of the Services.

6.3 System Delays Disclaimer

You understand and acknowledge that the Services may be subject to limitations, delays, and other problems inherent in the use of third-party communication networks and facilities beyond WisPaper's reasonable control. Accordingly, WisPaper shall not be liable for any delays, failures, losses, or damages resulting from system delays, downtime, interruptions, or other failures outside of our control (including, but not limited to, routine maintenance or network failures).

6.4 Exclusion of Indirect Damages

To the maximum extent permitted by applicable law, WisPaper shall not be liable for any indirect, incidental, punitive, special, or consequential damages (including, but not limited to, lost profits, lost data, or business interruption) arising out of or in connection with the use or inability to use the Services, even if we have been advised of the possibility of such damages.

6.5 Limitation of Remedies

  • No Punitive Damages: In no event shall you be entitled to recover, nor shall WisPaper be liable for, any special, incidental, consequential, speculative, punitive, or exemplary damages, even if WisPaper is in breach of these Terms or has been advised of the possibility of such damages.
  • No Injunctive Relief: If WisPaper breaches these Terms, you shall not be entitled to seek or obtain any type of injunctive relief against the Services.
  • Limitation of Total Liability: In any event, WisPaper’s total liability arising out of or in connection with these Terms or your use of the Services shall not exceed the total amount you paid to WisPaper in the twelve (12) months preceding the event giving rise to the claim, except for gross negligence or willful misconduct that is legally compensable.

7. Indemnification and Release

7.1 Indemnification

You agree to indemnify and hold harmless WisPaper and its affiliates, officers, directors, employees, agents, and licensors from and against any and all liabilities, claims, suits, losses, damages, fines, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Your acts, errors, or omissions.
  • Your use of the Services in a manner that violates these Terms.
  • Your infringement upon or injury to any third-party right.
  • Your breach of any portion of these Terms.

7.2 General Release of Claims

You hereby waive and release WisPaper and its affiliates from all claims, present and future, that you may have, including without limitation claims for tort, invasion of privacy or publicity, defamation, personal injury, property damage, negligence, and/or any other legal theory arising out of the Services or the rights granted by you under these Terms (including User Content).

8. Governing Law and Dispute Resolution

8.1 Governing Law

The formation, interpretation, and enforcement of these Terms shall be governed by and construed in accordance with the laws of Singapore (excluding its conflict of law rules).

8.2 Dispute Resolution

  • Limitation of Actions: Any cause of action or claim you may have arising out of or relating to these Terms or the Services must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.
  • Waiver of Jury Trial and Class Action: To the fullest extent permitted by law, whether or not a dispute is subject to arbitration or litigation, each party hereby waives its right to a jury trial and its right to participate as a member of a class action or in any other class proceeding.
  • Jurisdiction: Any disputes that cannot be resolved by negotiation shall be submitted to the exclusive jurisdiction of the competent courts of Singapore.

9. Other Terms

9.1 Privacy Policy

These Terms incorporate by reference our Privacy Policy.

9.2 Changes to the Terms

We may modify these Terms from time to time. If we make material changes to these Terms, we will endeavor to provide prompt additional notice (e.g., via email or a prominent notice on our homepage) at least one (1) month prior to the date the changes become effective. For non-material changes, we will update the "Last Modified" date. Your continued use of the Services after the changes become effective constitutes your acceptance of the new Terms.

9.3 International Use

The Services are controlled and operated by WisPaper from Singapore. We make no representation that the Services are appropriate or available for use in other locations, and accessing the Services from territories where the activity is prohibited is forbidden. Those who choose to use the Services from other locations do so on their own initiative and are solely responsible for compliance with all applicable laws.

9.4 Force Majeure

We shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including acts of God, fire, governmental action, strikes, epidemics, or other events of force majeure.
